Welcome to GoToAnalyze. These Terms of Service ("Terms") govern your access to and use of GoToAnalyze's website, platform, services, and products. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using GoToAnalyze's services, you confirm that:

• You are at least 18 years old
• You have the legal capacity to enter into a binding agreement
• If acting on behalf of an organization, you have authority to bind that organization to these Terms
• You have read and understood our Privacy Policy, Disclaimer, and Refund Policy

If you do not agree to these Terms, you must not access or use our services.

2. Description of Services

GoToAnalyze provides a unified GTM (Go-To-Market) intelligence platform offering:

• GTM Maturity Assessments: Evaluate your organization's analytics capabilities
• Analytics Dashboards: Custom dashboards and visualizations
• Consulting Services: Strategic advisory and implementation support
• Collaboration Platform: Project management and deliverable tracking
• Data Integration: Connect and analyze data from multiple sources

Services are provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any service at any time with or without notice.

3. User Accounts

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3.2 Account Termination

We reserve the right to suspend or terminate your account if you:

• Violate these Terms or any applicable laws

• Fail to pay applicable fees
• Misuse the platform or abuse other users

4. Fees and Payment

4.1 Pricing

Fees for services are as stated on our website or in a separate agreement. Prices are subject to change with notice. All fees are in the currency specified and exclude applicable taxes.

4.2 Payment Terms

• Payment is due upon purchase or as specified in your agreement
• Subscriptions auto-renew unless cancelled before the renewal date
• You authorize us to charge your payment method for all fees
• Late payments may incur interest and result in service suspension

5. Intellectual Property

5.1 Our Property

GoToAnalyze retains all rights to:

• The platform, software, and underlying technology
• Our trademarks, logos, and branding
• Proprietary methodologies and frameworks
• Templates, tools, and standard deliverables

5.2 Your Content

You retain ownership of data and content you upload. By uploading content, you grant us a license to use, store, and process it to provide our services. You represent that you have the right to share such content.

5.3 Custom Deliverables

Unless otherwise agreed in writing, custom deliverables (dashboards, reports, analyses) created for you are licensed for your internal use. GoToAnalyze retains ownership of underlying methodologies and templates.

6. Acceptable Use

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Use automated tools to scrape or harvest data
• Resell or redistribute our services without authorization
• Share account credentials with unauthorized users
• Use services for competitive analysis against GoToAnalyze
• Misrepresent your identity or affiliation

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes:

• Business data, strategies, and plans
• Technical information and methodologies
• Financial information
• Any information marked as confidential

Confidentiality obligations survive termination of services for a period of three (3) years.

8. Disclaimer of Warranties

Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Accuracy, reliability, or completeness of information
• Uninterrupted or error-free service
• Results or outcomes from using our services
• Security of data transmission

9. Limitation of Liability

To the maximum extent permitted by law, GoToAnalyze shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

• Loss of profits, revenue, or business opportunities
• Loss of data or data breaches
• Business interruption
• Cost of substitute services

Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless GoToAnalyze and its affiliates from any claims, damages, losses, and expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or share through our platform

11. Dispute Resolution

Any disputes arising from these Terms or our services shall be:

• First attempted to be resolved through good-faith negotiation
• If unresolved, submitted to mediation in Salem, Tamil Nadu
• If mediation fails, resolved through binding arbitration

You agree to waive any right to participate in class action lawsuits against GoToAnalyze.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. The courts of Salem, Tamil Nadu, India shall have exclusive jurisdiction over any disputes.

13. Changes to Terms

We may modify these Terms at any time. Changes are effective upon posting. Continued use of our services after changes constitutes acceptance of the modified Terms. Material changes will be communicated via email or platform notification.

14. Miscellaneous

• Entire Agreement: These Terms, along with our policies, constitute the entire agreement between you and GoToAnalyze.
• Severability: If any provision is found unenforceable, other provisions remain in effect.
• Waiver: Failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent.
• Force Majeure: We are not liable for delays due to circumstances beyond our control.
